Headline: Last night EPR announced restructuring / master lease agreement with Regal Cinemas 

  • Headline and agreement likely to be viewed favorably by the market as it addresses a major overhang on the stock. We have no idea how much is "priced in" as we generally disagree at Hedgeye with both the concept and the ability to quantify/know that. Rather we rely on signals to act as a guardrail on fundamental theses, and investors will recall that KM's signals flashed a bullish warning in late-April / early-May. Recall that we removed EPR from the Active Short recommendation list on 5.9.23. Again we got the initial recommendation wrong, owing primarily to AMC's ability to destroy it's own equity value and "subordinate" it's common shareholders to all other liabilities (at least for now), including EPR's rent payments.
  • EPR and Regal signed a new master lease covering 41 of the 57 assets currently leased to Regal. Initial ABR is ~$65 million escalating +10% every 5 years, with a weighted average lease term of ~13 years across the three tranches of the master lease.
  • EPR is also receiving a "promote" effectively in the form of percentage rent on gross sales >$200 million and escalating over time in conjunction with ABR. 
  • EPR is taking back the remaining 16 theaters, of which 11 will be marketed for sale and the remaining 5 will be operated subject to management agreements.
  • The "recovery" is contingent upon gross box office sales, but assuming 2024 NABOG of ~$9.4 billion EPR estimates that the combined master leased properties would achieve roughly ~96% of the aggregate pre-BK rent for all 57 properties. Slide 8 of the deck filed HERE provides a range of recoveries at various NABOG.

    Headline: Potentially nearing deal to acquire SFR portfolio from Starwood / SREIT

    • Yesterday Bloomberg reported that Active Short INVH may be nearing a deal to acquire ~2k single-family rental homes from SREIT, which may be a forced seller amidst ongoing redemptions. The article suggested a total purchase price of ~$800 million, or roughly ~$400k per home
    • This compares to INVH currently trading at an implied ~$340k per home, and a ~4.9% / 4.3% nominal / net effective cash cap rate as implied by the current share price. Note: our nominal cash cap rate calculation includes a ~3% overhead assumption (as private buyers typically underwrite in their own cost to operate any portfolio), and our calculation of net effective cash cap rates includes actual REIT cash G&A and capex. This means that the calculation might not be comparable to others out in the market, but we believe at any point in time more likely represents the "true" economics of what is being traded.  
    • More details are needed to understand the economics and any upside in the deal, but we believe SREIT likely paid a mid-3% cap rate in late-2021 for this portfolio, or ~$455k per home. Given reasonable NOI growth assumptions, we believe this implies that INVH is likely paying something close to a mid-to-high-4% nominal cap rate on in-place NOI, or inside of its current implied valuation in the market before growth / operational enhancement to the portfolio.
    • We question whether this makes sense from a capital allocation standpoint, relative to continuing to deploy capital at a more gradual pace towards in-place external growth channels available to the company. We estimate INVH would likely need to add at least +100-150bps of unlevered yield enhancement just to match the returns from it's builder channel.
    • But again, more details needed if and when the deal closes to determine if the deal makes sense vis-a-vis INVH's cost of capital. Right now it appears to be a high bar and not the best use of capital.
