Headline: Issuing equity to fund development as expected
- Last night Best Idea Long AMH announced it was selling 10 million common shares current (closing 1/24/22) and an additional 13 million (including a 3 million share green shoe) on a forward basis to be physically settled through 1/20/23. Taking the anticipated gross proceeds of $783 million against 20 million shares pre-shoe implies $39.15/share, or a 5% spread with rounding to yesterday's close. Net proceeds will be used to repay outstanding balances under the credit facility and to fund development and acquisitions.
- For context, we had expected ~20 million shares issued this year ratably over 2Q-4Q, so roughly in-line with this offering. We have to adjust timing a bit for the 10 million shares to be issued in 1Q22 which impacts numbers only marginally given the existing ~390 million fully diluted share count.
- There will be near-term pressure on shares today, but similar to May 2021 we would argue that you should sell your stock at a ~4.4% cap rate and build/buy to a ~6-6.5% unlevered yield (or higher potentially) all day long when you have the opportunity. The company needs to retain capital to fund development, and this is a solid capital allocation decision and accretive to TAIL earnings and value.
- When including this offering in our model + $800 million of assumed acquisition activity in FY22 + 2,100 newly developed homes assumed to be delivered into the consolidated portfolio this year, we are at Core FFO of $1.64/share vs. $1.55/share per FactSet (+6% higher).

Headline: First enterprise SaaS client announced
- Yesterday Best Idea Long WE announced that it had signed Organon as its first enterprise client for its workplace management SaaS offering. Organon will use the product to manage 34 of their locations globally.
- The product will completely replace Organon's existing workplace management system, with a focus on more efficient desk reservation and sharing under presumably a more flex office model going forward.
- We wrote about this when we launched on WE last year, but we think the partnership with C&W should offer WE an added distribution channel for selling its software offering via C&W's real estate services, facilities management and space leasing relationships. As a backstop investor, C&W is highly incentivized to promote WE's software product.
- Just as a reminder, we assumed no earnings contribution from software in our model in building up to a doubling of EBITDAR by year-end 2022. Incremental software sales should have high flow-through to the bottom line given marginal incremental investment in corporate overhead per additional relationship.
