Takeaway: Updating estimates for equity + debt pricing

Headline: Consensus numbers coming up, but still too low

Best Idea Long CUBE priced its equity and debt offerings to fund the ~$1.7 billion acquisition of Storage West set to close in December (we assume a 12/31 close). We were a little high in our assumed 3% rate on the ~$1 billion of newly-issued unsecured notes, which came out at a blended ~2.4% coupon between two tranches maturing 2028 and 2032. Also, assuming full exercise of the shoe, the number of newly issued shares will be ~2 million higher at 15.5 million, so slightly more dilutive than we had incorporated. Our Core FFO estimates vs. consensus are presented in Figure 1 below with the following conclusions:

  • Numbers have been coming up but are still too low - we are +$0.02/share ahead on 4Q21 and +4.5% ahead on FY22. Our model is at Core FFO of $2.41/share for next year with an upward bias, aka we still think we are being somewhat conservative. 
  • Given the pace of rental rate increases + the inclusion of a fully-stabilized Storage West, we think its is highly likely that revenue and earnings break the typical seasonal pattern where 1Q22 would be sequentially weaker than 4Q21. This holds true moving from 3Q to 4Q next year as well, as 4Q will benefit from a full quarter of NOI from Storage West.
  • We estimate the next three quarters will show y/y Core FFO earnings growth of +22%/+23%/+18%, before falling to sub-10% y/y growth beginning in 3Q22, hence our prior comments on the RoC.     
  • Street numbers are too low resulting from some combination of (1) not yet factoring Storage West and (2) too much conservatism on realized rental rate growth.
