Headline: UHAL very quietly had a bad fiscal 2Q24, in our view
- Reported fiscal 2Q24 Core EPS (Hedgeye's methodology) of $1.22/share, or ~$0.11/share below Hedgeye ( - ). UHAL has no sell-side coverage, and we continue to add back gains on BOTH equipment and real estate sales in calculating our adjusted earnings metrics. To be clear, in our view this was NOT a good print for the most important quarter of UHAL's fiscal year. DIY revenues decelerated faster ( - ) and total opex was up y/y and q/q, whereas we had modeled a y/y decline in dollars spent ( - ). Self-storage was basically on-target. DIY drives a majority of the company's revenue but we think profitability is split roughly 50/50 between DIY and storage at this point. We model the captive insurance subs as unconsolidated JVs via equity in earnings, so as to isolate the majority of the business.
- Big Picture: Earnings are just about back to their long-term trend, adjusting for increased contribution from higher-margin storage, however we expect a consumer and industrial recession + Quad 3 / Quad 4 through February 2024 (UHAL's worst two quads, obviously) + a stalled housing market to likely drive an over-correction in adjusted earnings below trend and further downside in the stock. With that said, similar to storage the RoC base effects will start easing significantly from here. We think one more drawdown in the stock and it will be time to start thinking long again on this name. It's closer to the 8-9th inning on this one.
- A note on Self-Storage: Weighted average SF occupancy came in +100bps higher than our model at 85.5% ( + ) and realized rent was right down the middle. RevPAF is still decelerating y/y heading into the weakest seasonal period for UHAL's business, amidst an overall depressed level of move activity.
- Regarding the balance sheet: It is an "asset" at ~2.5-3x net debt-EBITDA ( + ), but we actually do not think there is much room to take on incremental leverage here. First, much of the existing cash is likely reserved on balance sheet for delayed equipment replenishment and development activities. Second, if we assume ~35% leverage on our estimate of value for the self-storage segment (which we think is reasonable) = ~$3 billion of debt. This would imply ~3x leverage for the DIY rental business, which is actually HIGHER than we would want to see for a deeply cyclical industrial segment. We bring this up because UHAL is often discussed as a potential MBO candidate - in our view the equity check is still very big and there is definitely very little capacity to add leverage in the here and now. It may gradually happen over time as management buys in non-voting stock, but not yet.

Headline: NAREIT questions for our favorite management team, bc someone has to ask them...
- We're honestly surprised that they are even going, as we wouldn't want to show our faces after last week's nonsense. What are they going to say? "Believe us this time!" "Don't worry, we're flying commercial now!" Are they bringing Rosa Hooper to talk about Steward's EBITDARM, or Kevin Hanna to nervously shiver in the corner and hope that Hamner doesn't direct any tough questions his way? Will they stop off at the California DMHC office while they're out there to try to "grease the refs" on PHPH? Come on now... what are we even talking about here? They (1) opted not mention on the 3Q23 call (or Ed's hostage video on 10.2.23) that Steward was late on rent, and (2) just admitted (after we initially raised the issue on 9.10.23) that Prospect stopped paying rent + interest "early in 2022." Why even bother at this point?
- Anyway to the extent people want to hear more non-answers, obfuscation, misdirection, a little "Fast Eddie" etc., here is what we would ask before grabbing a drink at the bar and asking, "can you believe those guys?:"
- What is the status of Steward’s audited 2022 financial statements? When will they be filed with the SEC, as per MPW’s commentary on the 2Q23 call? What was provided to the ABL lenders as part of the refinancing process?
- Was the portion of the late September rent from Steward included in 3Q23 AFFO? If so, please quantify that amount. Also please quantify the portion of the October rent that was late. Similar to our question last year in 4Q22 about Prospect, that got back a "Oh no, it's all cash! Nothing changed!"
- Will you blame the "evil shorts" for Steward being late on rent? Will "getting" or "burning" the shorts, as was verbalized at the June 2023 NAREIT conference, assist in Steward paying its rent going forward? Will you call any of the "evil shorts" and ask them for money in the coming months/years? Are the bears' arguments valid and credible to you now, or are some analysts still "not equal" or inherently conflicted.
- Has Steward been late on its rent in any other month since January 2022? Don't lie...
- What was the maximum outstanding balance on the "promissory notes" with Steward during 4Q22? We still think this is one of the most important parts of the story, along with the "capex" spend, that remains not well-understood among a majority of investors. What was the max balance during 2022?
- How much of MPW's quarterly ~$180 million AFFO run-rate is non-cash? Don't tell us "you don't have the number," like you told Green Street on the 1Q23 call. We know you have it, so come clean. If we could figure it out for Prospect a thousand miles away in Stamford, CT, there is no shot that the CFO of this company does not know the answer. Zero.
- Speaking of which will John Pawlowski of Green Street, who had the courage to ask tough questions, ever be allowed back on your earnings call? Investors have noticed and raised this question.
- How is it possible that Prospect could stop paying "early in 2022," and MPW at the same time showed no deterioration in its quarterly AFFO run-rate throughout 2022?
- How is that fact pattern consistent with saying Prospect was "current" on its rent and interest obligations "until the 2022 fourth quarter" in your 2022 10-K filing? They may have been "compliant" with the terms of the lease, which is another rabbit hole to go down, but they for sure were not "current." Prospect was not paying!
- Why wasn't the ~$112 million of estimated deferred 2022 Prospect rent + interest included in the "rent deferral, net" line item reconciling to AFFO throughout 2022?
- Do you stand by your comment from April 2022 that "cash cannot be engineered or manipulated?" See HERE.
- What is the updated battle plan against the Wall Street Journal? Are we going on a flanking mission, or just "running it right up the gut" on 'em? Ya know, three yards and a cloud of dust. Have you positioned yourselves appropriately for the next monthly options expiry? If not, Hedgeye can definitely help there. Give us a call!
- What return are you getting on the ~$13 million of litigation and other "short-seller defense costs" expensed YTD? What performance metrics do you have to evaluate the merits of that spend of shareholder capital? Because the stock is down ~60.7% YTD before dividends since you started accruing those costs. Has any of that money been spent on PI / other investigations of the very investors sitting across from you right now?
- Why is your corporate overhead running at ~$150 million annually, or ~$110 million excluding SBC? Why is that number not materially lower, given the reduction in the size of the company? And given that MPW is a *supposed* triple-net REIT? Does MPW cover any overhead for Steward or any other tenant? If so, please quantify that amount.
- What UJV(s) accounted for the ~$67 million of YTD dividends newly-disclosed in the most recent 10-Q? Was that Infracore / Swiss Medical? Was it due to a "capital event" such as a refinancing, as opposed to true OCF? Was it all or substantially received in 3Q23? Are any distributions being generated by the MAM JV?
- What tenant relationship is this? From the 3Q23 10-Q, and don't give us "oh its small, <1%, etc.:"We have agreed in principle to sell seven facilities back to a tenant that comprise approximately 1% of our total assets at September 30, 2023. With this transaction, along with a decline in operating results, we have determined that it is no longer probable that the tenant will be able to pay its rent for the duration of the lease. As a result, we reserved approximately $49 million of billed and straight-line rent receivables in the third quarter of 2023 and will account for rent on these properties under the cash method." Is this Vibra or ScionHealth?
- Is MPW still constructing the new "global headquarters" in Birmingham with shareholder capital? Might want to mothball that one...
- We asked this with our Priory deck published on 10.23.23: Have any MPW Section 16 officers/NEOs, other than Emmett McLean, or members of MPW’s BoD resigned or notified the company that they plan to depart from their current roles? If so, who, when and why? If so, why has MPW not filed an 8-K with the SEC including correspondence?
- Is booking straight-line rental revenue from unexercised tenant extension options a standard practice across all of MPW's leases, as we have seen with Priory and Prime? How much of annual "NFFO" is comprised of these amounts?
- Why has no one asked a question on any earnings call about Steward Malta or the “International JV” since it became topical in early-2023, and since the Maltese court attached the word “fraud” to the situation in its ruling?
- Just some of the things we would want to know if we were a shareholder / still held out hope / wanted some free entertainment. We can't believe this site is free...
